Position: Legal Associate (Omani Candidates Only)

Purpose

The main purpose of the legal associate is to provide consistent and timely legal support and advice on legal assignments to the Legal Department to ensure that OMRAN functions with the highest level of integrity and in compliance with local laws.

 

Responsibilities

  • Study, review, and assist in finalizing and executing legal documentation.
  • Liaise with concerned parties relating to legal disputes, court cases, and settlements.
  • Liaise with the Finance, Procurement, and Audit departments in all matters relating to auditing, invoicing, purchase orders, tenders, and external appointments.
  • Review, audit and finalize invoices. Record and maintain catalogs of ongoing meetings, new assignments, and telephone calls for invoicing purposes.
  • Liaise with retained external legal counsel on all outsourced matters handled externally including for matters of invoicing and coordination on meetings.
  • Review contractual agreements and participating in the negotiation of contracts for OMRAN, and drafting, amending, and advising on particular but not limited to: MOUs/LOIs, Shareholder Agreements, PPMs, term sheets, partnership agreements, mergers and acquisitions in general including the due diligence process of acquisition and investment decisions from a legal point of view.
  • Prepare documentation including contract sign-off sheets, monthly budget reports, finance reports, HR Reports, and ongoing work reports.
  • Supervise and ensure document control and storage for the legal department.
  • Coordinate, finalize, and procure delivery of external communications and relevant documentation.
  • Undertake company secretarial work including company registrations and preparing for AGMs and EGMs.
  • Provide general support regarding corporate matters, Asset Management Agreements, Hotel Management Agreements, Facility Management Agreements, general real estate matters, Consultancy Agreements, Sale & Purchase Agreements, Development Agreements, Construction and Engineering Consultancy Agreements, procurement-related agreements and arrangements including MOUs/LOIs.
  • Assist in achieving efficiencies in the OMRAN Legal department and effectiveness through supporting and contributing towards the development of Legal administration, processes & policies.
  • Proactively assist and support Group General Counsel and Legal Counsel(s).

Education & Experience
 
  • Law Degree (LLB) from an accredited law school or law faculty.
  • Training in related field/ discipline would be an advantage.
  • GPA of 2.7 Minimum.
  • Fresh Graduate.
  • Fluency in spoken and written Arabic and English.
