Position: Group Governance & Compliance Manager (Omani Candidates Only)

Purpose

 
To ensure corporate governance function is in line with the strategic plan for corporate operations of OMRAN as per the mandate. This includes systems and procedures designed to structure authority, balance responsibility and provide accountability to stakeholders at all levels, inclusive of the subsidiaries. Also, to manage OMRAN and its subsidiaries compliance to OIA set of policies.
 
 
 Responsibilities
 

  • Contribute to the identification of opportunities for continuous improvement of corporate governance systems, processes and practices taking into account OIA policies and guidelines and international leading practices.
  • Maintain approved policies & procedures manuals of all departments of OMRAN & its Subsidiaries.
  • Ensure all the essential guidelines are put in proper place accurately adhering to industry/company’s rules and regulations.
  • Assist department head in ensuring the policy implementation and monitoring responsibility are assessed to the business owner of the policy & procedures.
  • Ensure proper communication of approved policy to the related stakeholders.
  • Ensure the workflows in the company systems (whether automated or manual) are aligned with the governing policies.
  • Ensure senior management remain informed of regulatory, legislative and best practice changes and their obligations under these changes and how they impact the Group.
  • Communicate through the internal channels or through meetings and workshops the importance of governance and compliance to raise awareness and manage change.
  • Conduct business process re-engineering and process improvements.
  • Identify opportunities for process digitization and automation.
  • Manage OMRAN & its subsidiaries regulatory compliance policies and procedures in coordination with the corporate governance operations.
  • Develop action plans related to compliance; measuring and analyzing results; initiating corrective actions; minimizing the impact of variances.
  • Identify areas of improvement of OMRAN Compliance systems, processes and practices taking into account ‘international leading practice’.
  • Avoid legal challenges by understanding current and proposed legislation; enforcing regulations; recommending new procedures; complying with legal requirements in coordination with legal department.
  • Providing support, education and training to staff to build compliance awareness within the organization.
  • Provide annual strategic Governance management plan.

  • Develop policies and procedures in relation to management of Corporate Governance aligned with the Board & OMRAN mandate.
  • Perform routine administrative activities required of governance & Compliance professionals.
  • Perform as an effective member in supporting the unit in ensuring that the tasks in accordance with the objectives are completed accurately on a daily basis.
  • Seek support and guidance from the Head.
  • Foster a culture of team spirit, co-operation and continuous self-development within the unit.
  • Contribute to the identification of opportunities for continuous improvement of systems, processes and practices taking into account ‘international leading practice’, improvement of business processes, cost reduction and productivity improvement.
  • Maintain policy and procedures related to Risk and Compliance.
  • Support in ensuring compliance with approved policies, procedures and standards by team and support the achievement of quality standards across the organization.

 

Education & Experience


  • Bachelor’s Degree Business Management or Law.
  • Minimum of 8 years of experience in related field.
  • Professional Certificate in field of governance/Compliance will be preferable.
  • Working in the Development, Investment and Asset Management industry will be preferable.
  • Proven ability to interface directly with Board members and the CEOs. quality standards across the organization.
